License terms for using the Leadbase software
1. Comprehensive License Grant and Usage Rights
Basic License Grant
Workbase Platforms Sp. z o.o. ("Leadbase", "we", "us") grants the licensee ("you", "customer", "user") a limited, non-exclusive, non-transferable, revocable license to use the Leadbase software and services in accordance with the provisions of this End User License Agreement ("EULA") and the applicable Terms of Use.
License Scope and Entitlement

Concurrent User Licensing
Enterprise customers can choose between Named User and Concurrent User licensing. Concurrent User licenses allow simultaneous use by a defined number of users within the organization.
Departmental and Subsidiary Licensing
Large organizations can agree on extended licensing models for different departments, subsidiaries, or geographic locations. These are subject to separate agreements and pricing schemes.
License Compliance and Monitoring
Leadbase reserves the right to monitor license compliance and take appropriate measures in the event of violations. Customers are required to provide accurate usage reports and support audit activities.

All rights, title, and interest in the Leadbase software, including all modifications, improvements, and derivative works, remain exclusively with Leadbase or our licensors. This EULA grants no ownership rights in the software.

Leadbase provides regular software updates to improve functionality, security, and performance. These updates are part of the service and are installed automatically without separate consent.

In the event of critical security problems or system failures, unscheduled maintenance may be carried out without advance notice. Customers are notified immediately through status pages and email.
End-of-Life Policies for Software Components
Leadbase reserves the right to discontinue obsolete software components or features after a notice period of at least 12 months. Affected customers receive migration support for current alternatives.
5. Extended Limitation of Liability and Disclaimer of Warranties
Comprehensive Disclaimer of Warranties
The Leadbase software is provided "AS-IS" and "AS-AVAILABLE" without any express or implied warranty. Leadbase excludes all warranties to the extent permitted by law.

Limitations and Exclusions of Liability
Unlimited Liability (Required by Law)
Leadbase is fully liable for damage resulting from injury to life, body, or health caused by an intentional or negligent breach of duty, as well as for other damage resulting from an intentional or grossly negligent breach of duty.
Limited Liability in Cases of Simple Negligence

Leadbase maintains appropriate insurance for professional liability, cyber risks, and general business liability. Details can be provided to enterprise customers upon request.
6. Data Protection, Security, and Compliance Requirements
Comprehensive Data Protection Compliance
Use of the Leadbase software is subject to strict data protection requirements. Customers must comply with all applicable data protection laws, in particular the GDPR, the BDSG, and equivalent international provisions.

7. License Termination, Cancellation, and Data Transfer
Ordinary License Termination
The license ends automatically when the subscription period expires unless it is renewed in accordance with the renewal terms. Both parties may terminate the license subject to the agreed notice periods.

Extraordinary License Termination
Leadbase may terminate the license without notice in the event of serious violations of this EULA, payment default despite a reminder, the customer's insolvency, or other good cause. The customer is given an opportunity to comment before termination.

Customer Data Deletion
After license termination, all customer data is completely and irrevocably deleted within 90 days unless statutory retention obligations require longer storage. Customers receive written confirmation of deletion.
Backup and Restoration
Customer data in system backups is deleted according to the regular backup retention cycles (typically 12 months). Emergency restoration is possible only during the active license period.
Post-Contract Obligations
Even after license termination, confidentiality, data protection, and liability provisions remain in force for use that has already taken place. Customers remain responsible for the lawful use of data received during the license period.

Leadbase reserves the right to monitor and audit compliance with these license terms. This includes technical monitoring systems and direct audit activities where there is justified suspicion of license violations.

11. International Licensing and Export Control
Global Licensing and Territorial Restrictions
The Leadbase license may be used in various countries and regions but is subject to local laws, export control regulations, and any territorial restrictions. Customers are responsible for complying with all applicable local laws.

12. Final Provisions and Legal Enforcement
Applicable Law and Jurisdiction
This EULA is governed by the law of the Republic of Poland, excluding the UN Convention on Contracts for the International Sale of Goods and conflict-of-law provisions. The exclusive place of jurisdiction for all disputes is Warsaw, Poland, to the extent permitted by law.

If individual provisions of this EULA are or become invalid or unenforceable, this does not affect the validity of the remaining provisions. Invalid clauses will be replaced by clauses that come closest to the originally intended economic purpose.
Contract Amendments and Updates
EULA Modifications
Leadbase may modify this EULA with reasonable advance notice (at least 30 days). Material changes are communicated by email. Continued use after the changes take effect constitutes acceptance.
Right to Object and Termination Options
In the event of material EULA changes, customers have a right to object and may terminate the license with immediate effect. Enterprise customers receive extended transition periods and negotiation options.
Succession and Contract Transfer
This EULA is binding on both parties and their respective successors. Leadbase may transfer rights and obligations as part of corporate transactions. Customers may transfer the license only with Leadbase's prior written consent.
Entire Agreement and Order of Precedence
Together with the Terms of Use and any separate enterprise agreements, this EULA constitutes the entire agreement. In the event of conflicts, individual agreements take precedence over this EULA, which in turn takes precedence over general Terms of Use.
